Our terms and conditions

(i) ) This website (the "kavaniconsulting.com") and all service offerings (collectively the "Services") are owned and operated by The Kavani Group Inc. (hereinafter also referred to as "we", "us", "the entity", "the partners" or "Kavani"). The consulting services are offered under the name "Kavani Consulting" to avoid confusion with other services that are or may be offered by another division. The entity is not affiliated with any other institution and acts solely in its own moral name. These Terms and Conditions ("Terms") set forth the terms and conditions under which visitors or users (collectively, "User" or "you") may visit or use the Site and/or the Services presented.

(ii) By accessing or using the Services, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree to all of the Terms, you may not access the Site or use any of the Services. Please read these Terms carefully before accessing our Site or Services. In these Terms, you will learn who we are, how we provide our Services to you, how to terminate the Service in accordance with the terms of the Agreement and what you can do if you have a problem.
 

(iii) You represent that you are of legal age and have the legal authority, right and power to enter into a binding agreement based on these Terms and to use the Services. If you are under the age of majority, you may only use the Services with the consent of your parent or legal guardian. You may not use this Site and/or our Services if it is prohibited in your country, or by any law or regulation applicable to you.

Description of Services

(i) You should read the description of the Services carefully before contacting our Services. The description of the Services sets forth the essential features of the Services. These descriptions are designed to provide you with the most complete information possible about these features, without being exhaustive. Photographs, drawings and descriptions are provided for informational purposes only and are not binding on us. 

​

(ii) Kavani Consulting offers a variety of services for the primary needs of entrepreneurs acting as self-employed individuals or through a small or medium-sized enterprise (SME). In particular, the company offers business plans and consulting services. We offer several business plans and the content and depth of the report varies according to the choice.

 

The business plans are segmented into the basic plan, the standard plan and the premium plan. The basic plan essentially conceptualizes the project and the underlying business model. The standard plan includes the content of the basic plan while enhancing the relevance and depth of the report with the addition of a summary financial analysis and a financial forecast. Finally, the premium plan is the business plan per excellence since it offers a more complete financial analysis, financial forecasts over a longer horizon and an analysis of financing needs. Additional options are offered with all plans to enhance the report. Consulting services are consultation sessions with our experts and consist of answering, to the best of our knowledge, the clients' questions on operational, strategic or structural issues.

(iii) Business plans are written to convince the reader to invest and/or finance the project in question. The report is written in the third person (or in the first person, at the client's request).

Provision of Services  

(i) Any provision of Services shall be subject to the Terms and Conditions applicable at the time of signing the Service Agreement. 

​

(ii) Upon acceptance of the retainer, a service agreement outlining the terms and conditions and a summary of the selected services will be provided to you and a signature (physical or electronic) is required. The signature implies a legal agreement to abide by the terms and obligations.  

​

(iii) Upon signing the service contract, it is your responsibility to (i) read the complete list of items included in the selected business plan and (ii) review the payment, reimbursement and report delivery terms.

​

(iv) Following the signing of the service contract, a questionnaire is sent to the client and must be answered within 10 business days. 

​

(v) Completion of the report is conditional upon the following criteria: 

  1. Receipt of responses to the questionnaire

  2. Preliminary meeting completed  

  3. Receipt of additional questions asked during the preliminary meeting

  4. Receipt of deposit

​

(vi) Once report writing begins, a maximum of twenty [20] working days is required before final delivery of the report. A fee-based option is available to reduce this time. Good cooperation from the client is required to meet this deadline. To the extent that the client fails to respond to additional questions or clarifications raised during the drafting process, an incomplete report may be delivered and no liability is incurred to Kavani Group Inc. (and its divisions).

Billing for Services

(i) Billing for a business plan shall be as follows: (a) A fixed amount is charged for the plan and any additional options selected. (b) A deposit equivalent to one-third of the billable amount is charged following the signing of the service contract, and then (c) a second third is charged two weeks after the start of the writing. (d) The remaining amount is to be collected, at the latest, upon delivery of the report. Delivery of the report is conditional upon receipt of the full billable amount.

(ii) Billing for consulting services shall be as follows: (a) Consulting services shall be billable on an hourly basis, or prorated, at a rate of one hundred fifty dollars per hour [$150/hour]. (b) The invoice is issued following the meeting and must be paid within a maximum of 30 days, otherwise penalties and interest are applicable.

(iii) Payments can be made by Interac transfer or cash.

​

(iv) The billable amount includes the price of selected services, the taxes in force in the province of Quebec as well as the fees or penalties for late payment.

​

Refund Policy

(i) A client may request a refund within a maximum of 72 hours after the deposit has been paid. After this period, the deposit is non-refundable since efforts are made from the first contact with the client to open the file, organize the preliminary meeting, consult the answers to the questionnaires and coordinate the writing of the business plan.  

​

(ii) A client may terminate the contract during the drafting period, but the refundable amount will be made according to the progress of the work, i.e., on a pro rata basis of the weeks elapsed. Considering that a writing period can take up to four weeks, 25% of the billable amount becomes non-refundable after each week. No report will be issued for a contract terminated due to the concept of completeness.

(iii) A pro rata of working days will be used when a termination request is made by a customer within a week. Based on this principle, a week is over on Friday at 11:59 PM GMT.

​

(iv) The following are examples of scenarios:  

  • Example 1 : A client opts for the standard plan and decides to terminate the contract two weeks into the writing process. The billable amount is $2,000 and a deposit of $700 has been made. The amount owed by the client is $1,000, which is 50% of the billable amount due to the two weeks elapsed since the start of the writing. The client will have to pay a difference of $300.

  • Example 2 : A client has chosen the premium plan with additional options. However, he changes his mind and decides to cancel his contract worth $3,500. Three weeks have elapsed since the beginning of the write-up. Having made the full payment at the time of signing, he will be entitled to a refund of $875, or 25% of the invoice amount. 

  • Example 3 : A client uses Kavani's services to obtain a basic plan worth $1,000. He makes a deposit of $350 on Monday, January 10, 2022 and submits all the required documents to start the writing. Almost ten days later, on Thursday, January 20, 2022, he decides to cancel his contract. The amount owed by the client is $400 since the degree of progress is 40%, i.e. 25% for the first week and 15% (3/5*25%) for the second. The client will have to pay an additional $50 to settle his invoice.

Professional secret  

(i) The partners in the Kavani Group are two Chartered Professional Accountants (CPAs) and one candidate to the accounting profession. They are all subject to the Code of Ethics for the CPA profession which is regulated by the CPA order. To this end, members are bound by professional secrecy as indicated in section 48 of the code. Consequently, all information gathered through interactions with clients or potential clients is protected and may not be disclosed to anyone. This includes business models, competitive advantages or other strategic information presented by the client.

Limitation of Liability

(i) A business plan is an indispensable tool for formulating a business model and obtaining financing from a financial institution or private lenders. Kavani Consulting helps entrepreneurs write a professional business plan using the expertise available in-house and acquired over time. Upon delivery of the report, a transfer of rights and responsibilities is made to the client. It is the client's responsibility to take ownership of the content of the business plan and to promote it to the appropriate users. The Kavani Group (and associates) cannot be held responsible for an unfavorable response from a user.

For example :

  • A refusal for a loan request from an institution

  • An unfavorable response to a grant application from an organization

  • Inability to raise capital from private investors

  • Difficulty recruiting business partners  

​

(ii) Kavani offers consulting services to accompany clients for different needs, whether it is for the start-up of their business or to help them make strategic decisions in the short, medium or long term. Advice is provided to the best of our knowledge and according to the information available at the time of the service. The Kavani Group (and the partners) cannot be held responsible for any financial loss or negative impact on the business in question as a result of the advice provided.

(iii) A business plan sometimes requires the use of assumptions, particularly in determining financial forecasts. These forecasts are formulated on the basis of our knowledge and expertise as well as the information available at the time of writing. We use a rigorous approach to ensure that only quality assumptions are used. More specifically, we ensure that the assumption is reasonable, timely and consistent. Also, the assumptions are presented to the clients and must be approved by them at the time of final delivery of the report. Even so, it is possible that the assumptions, and the resulting scenarios, may be inaccurate. The Kavani Group (and the partners) cannot be held responsible for the consequences of an inaccurate assumption on the company and on the users of the report.​

Modification of the Terms or Services  

(i) These Terms are subject to change at our discretion. You should check the website or the Service Agreement regularly to review the current Terms and Conditions. Your continued use of this site or our services constitutes your implicit agreement to the terms. If you do not agree to any of the Terms or any future version of the Terms, do not access the Site or use the Services.

Interruption

(i) We may modify or limit the Services, cease to provide the Services or any feature of the Services we offer. We may terminate or suspend access to the Services temporarily or permanently for any reason, without liability. We will give you sufficient notice if it is practicable in the circumstances and we will reasonably consider your legitimate interests in taking such action.

(i) The Site may include links that direct you to external sources. Unless otherwise stated, the linked sites are not under our control and we are not responsible for their content, nor for any links they may contain, nor for any changes or updates to them.
